CONTRACT AND CONDITIONS OF USE MÔNICA WIFI PRE-PAID

THESE TERMS GOVERN THE CONDITIONS APPLICABLE TO THE CONTRACTING, USE AND CANCELLATION OF PREPAID MOBILE INTERNET SERVICES ("SERVICES") OFFERED BY NEWSKY THROUGH A MONTHLY SUBSCRIPTION.

WE REQUEST YOU TO READ THESE TERMS AND CONDITIONS CAREFULLY. HIRING AND USE OF THE SERVICES IMPLIES FULL ACCEPTANCE OF THESE CONDITIONS. IF YOU DO NOT AGREE, IN WHOLE OR IN PART, WITH THESE TERMS OR ITS FUTURE UPDATES, YOU WILL NOT BE POSSIBLE TO USE THE SERVICES.

1. CONTRACTING PARTIES

1.1. On the one hand, 有限会社メガシステム (Yugengaisha MegaSystem Co., Ltd.), headquartered in Tokyo-to Shinjuku-ku Nishi-Shinjuku 3-7-1, Shinjuku Park Tower N30F, CEP 163-1030, operating under the trade name "NewSky"; 1.2. And, on the other hand, the Customer, qualified in the Registration Form ("Customer"). (NewSky and Customer referred to together as "Parties" and separately as "Party").

CONSIDERING THAT NewSky offers the Customer the possibility of contracting the Services through a pre-paid monthly subscription, the Parties enter into this SUBSCRIPTION SERVICES CONTRACT AGREEMENT ("Term"), governed by the following clauses:

2. DESCRIPTION OF THE SERVICE

2.1. Mônica WIFI prepaid mobile internet service, using 4G/LTE network in Japan.

3.2. Additional Fees: * Activation Fee: ¥2,200 (Promotional, original value ¥5,500) * Reactivation Fee (for customers of this campaign): ¥2,200 (Promotional, original value ¥5,500);

3.3. Data Usage and Speed ​​Policy: * Plans with data cap (35GB to 500GB): After the total contracted data allowance has been consumed, the connection speed will be significantly reduced for a brief period and, subsequently, access may be interrupted until the beginning of the next billing cycle (first day of the month following the renewal payment). * UNLIMITED LITE and UNLIMITED PLUS plans (Fair Usage Policy - FUP): * These plans are intended for moderate and fair use of the network. Speed ​​is limited to approximately 4 Mbps (enough for videos up to 720p). * UNLIMITED LITE: Recommended for individual use (1-2 devices). * UNLIMITED PLUS: Recommended for up to two people (2-3 devices). * Although there is no fixed daily limit, continuous and excessive use that may impact network quality for other users (such as frequent downloads of large files or uninterrupted streaming in very high resolution) may result in reduced speed or temporary suspension of service, at the discretion of the operator or NewSky, to ensure network stability. * Warning: The operator and/or the Japanese government may apply restrictions or even request cancellation of the contract in cases of use considered abusive (for example, frequent use above 5GB/day on Unlimited Lite or 8GB/day on Unlimited Plus, or use that violates Japanese laws, such as P2P/torrent). Such actions may occur without prior notice.

4. MÔNICA WIFI ROUTER (COMMODATO)

4.1. Loan (Lending): The Mônica Wifi router is transferred to the Customer on a lending basis (free loan) while the contract is active and in compliance. The device must be returned to NewSky in good condition at the end of the contract. 4.2. Reference Value: The market value of the router is ¥12,800. In case of loss, theft, irreparable damage or non-return of the device after cancellation, this amount will be charged to the Customer. The Customer may choose to purchase a new device, according to current prices. 4.3. Remanufactured Model (RF): The supplied router model may be refurbished and, therefore, may show small signs of use that do not affect its operation. 4.4. Configuration: The device is delivered, configured and ready for use. It is recommended not to change the settings to avoid connection issues. 4.5. Accessories: The router comes with a USB-C cable. 4.6. Additional Information: Consult the invoice for specific information about your router.

5. PAYMENT (PREPAID SERVICE)

5.1. Modality: The service is prepaid with automatic monthly renewal upon payment. 5.2. Payment Period: Payment of the monthly fee must be made between the 2nd and 15th of the current month to guarantee renewal of the service in the following month. 5.3. Payment Methods: * Credit Card: Processing will take place between the 2nd and the 15th. Keep sufficient funds or limit available. Provide the data during the initial consultation. * Konbini (Convenience Store): Payment must be made between the 2nd and the 15th. It is necessary to provide a valid email to receive the barcode monthly. Accepted stores: Family Mart, Lawson, Mini Stop. 5.4. Payment Processing Fee: A fee of ¥330 applies to both payment methods (Card and Konbini). Currently, this fee is being subsidized by NewSky, but may be passed on to the Customer at any time, without prior notice. 5.5. Consequences of Non-Payment or Delay: * Non-Payment by the 15th: The contract will not be automatically renewed and will be canceled at the end of the current month. All applicable fees and fines, if any, will be charged. It is prohibited to use the service in the subsequent month if payment has not been made. Improper use will result in the full corresponding monthly fee being charged. * Late Payment (between the 16th and the 25th): If negotiated and accepted by NewSky, payments made after the 15th and up to the 25th of the current month will incur a late fee of ¥1,500, in addition to the monthly fee. * After the 25th: The contract will be considered abandoned (see Clause 7). 5.6. Changing Payment Method: To change between Konbini and Credit Card, contact the call center at least 30 days in advance of the desired payment date for the change.

6. CHANGE OF PLAN

6.1. Request: To change your data plan, contact the customer service center by the 5th of the month so that the change is valid from the following month. 6.2. Fee: The fee for changing plans is ¥2,200. 6.3. Effectiveness: The change will come into force on the first day of the following month, as long as the change fee and the monthly fee for the new plan are paid.

7. CANCELLATION AND ABANDONMENT OF CONTRACT

7.1. Cancellation Policy: This contract is monthly and has no penalty for early cancellation. However, all outstanding financial obligations must be paid. 7.2. Cancellation Procedure: The holder must contact NewSky (see Clause 12) to formally request the cancellation of the service. 7.3. Pending Payments: The Customer must pay all amounts due (monthly fees, late fees, value of the router in case of non-return/damage, etc.) within the deadline stipulated by NewSky, generally by the 25th of the month of the final due date. 7.4. Abandonment of Contract: Failure to pay the monthly fee by the 25th of the current month, without contact or negotiation with NewSky, will be considered abandonment of the contract, subjecting the Customer to the sanctions provided for in Clause 8. 7.5. Administrative Billing Fee: If it is necessary to issue a new bill (Konbini or Card) or change payment dates for amounts already due or in the process of cancellation, an administrative fee of ¥1,500 may be applied, added to the amount due.

To cancel the service, the router must be returned by the 3rd, under penalty of fees or fines described below:

8. GENERAL CONDITIONS, NETWORK USE AND SUSPENSION RIGHTS

8.1. Legislation and Regulation: Customer acknowledges that Japanese data traffic control laws and carrier policies may change. New government or carrier regulations may apply to services, including volume or speed restrictions, without prior notice from NewSky. 8.2. Fair Use and Restrictions: * The service is intended for general internet use. Activities that consume data intensively and continuously (large volumes of communication, heavy downloads/uploads, excessive streaming, use of P2P/torrent) are not recommended and may violate the fair use policy. Details about piracy: bit.ly/ns_pirataria. * NewSky and/or the operator may apply restrictions (drastic speed reduction, temporary or permanent interruption of the connection) to users whose usage pattern is considered abusive or harmful to the general quality of the network. * There will be no refund, exchange or compensation in case of suspension or speed limitation resulting from the Customer's use or operator/government impositions. 8.3. Responsibility and Coverage: * NewSky is not responsible for signal failures or connection quality in specific areas, as they depend on the operator's coverage. * The advertised maximum speed is theoretical; Actual speed may vary depending on environment, user device and network congestion. * NewSky does not support or be responsible for third-party software, applications or devices used by the Customer. * There will be no financial compensation for service interruptions due to accidents, natural disasters or maintenance not scheduled by the operator. 8.4. NewSky's Rights (Suspension and Unilateral Cancellation): * NewSky reserves the right to suspend any other active service of the Customer in the event of late payment or abandonment of the contract for one of the contracted services, without prior notice. * NewSky may unilaterally suspend or cancel the contract if it finds damage to the company, misuse of the service (illegal, abusive, against the terms), or misconduct by the Customer. This may occur without prior notice, without the right to a refund and with applicable fines and fees. * NewSky may pass on to the Customer any changes in costs or service conditions imposed by the operator, including price adjustments, as permitted by law, notifying the Customer as soon as possible. 8.5. Default Charge: * The service is prepaid with automatic renewal; After payment, there are no refunds. * Financial outstanding issues (late monthly payments, fines, router value, etc.) are subject to interest of 14.5% per year. * NewSky may collect debts abroad and include the Customer's name in credit restriction registers (such as SPC/Serasa in Brazil and equivalents in Japan or internationally) in case of unresolved default. * In case of persistent default without communication or attempt at agreement by the Customer, the charge may be forwarded to partner law firms (e.g. Libra Legal Office) or collection agencies (e.g. Trade's Creditor Protection Co., Ltd.). * Legal actions may be initiated to resolve the pending issue, using the Customer's registration data. * The competent forum to resolve any legal disputes arising from this contract is the Tokyo Court of Justice.

9. INTELLECTUAL PROPERTY (TURMA DA MÔNICA)

9.1. All images of the Turma da Mônica characters are the copyright of Mauricio de Sousa Produções Ltda. and used under license.

10. DOCUMENTS AND REGISTRATION DATA

10.1. NewSky may request identification documents from the Customer at any time. 10.2. It is the Customer's responsibility to keep their registration data (address, telephone, email) always updated with NewSky. 10.3. For updates or other communications, use NewSky's official channels (Clause 12).

11. TECHNICAL SUPPORT AND SERVICE

11.1. Technical support is restricted to the operation of the service and the router provided by NewSky. Does not cover issues with Customer devices or third-party software/applications. 11.2. Service (support, financial, etc.) occurs Monday to Friday, from 10:00 to 17:00 (Japan time), except national holidays.

13. TAXES

13.1. Prices stated in this contract include Japanese consumption tax (10% currently). 13.2. Any adjustments in the tax rate by the Japanese government will be immediately passed on to the monthly fees, in accordance with current legislation.
