MÔNICA MOBILE CALLING CHIP CONTRACT FOR SOFTBANK AND AU
VERSION 21 - ENGLISH

This agreement aims to regulate the conditions applicable to the contracting, use, and cancellation of the services and benefits offered by NewSky Specific ("Services") through a monthly subscription. Please read the terms and all the conditions below carefully. If you do not agree, either in whole or in part, with this agreement, as well as any amendments, changes, or updates, the customer will not be able to access the services.

1. Entered into by and between, on one side, 有限会社メガシステム Yugengaisha MegaSystem Co., Ltd., a company headquartered in Tokyo - Head Office: 〒163-1030 Tokyo-to Shinjuku-ku Nishi-Shinjuku 3-7-1 Shinjuku Park Tower N30F, represented herein in accordance with its trade name ("NewSky"); and on the other side, the Customer, already registered in the Registration Form ("Customer," when referred to together with NewSky, "Parties" and, individually, "Party"). WHEREAS: NewSky offers the customer the ability to subscribe to services and benefits via a monthly subscription; THE PARTIES HEREBY AGREE to enter into this SPECIFIC SERVICE OR BENEFIT SUBSCRIPTION CONTRACT ("Agreement"), which shall be governed in accordance with the following terms and conditions:

2. TELEPHONY, INTERNET, AND SMS SERVICE
A. The provided chip offers telephone call services, internet access, and SMS messaging, with coverage available in areas serviced by SoftBank’s 3G/4G networks or au’s 4G/5G/LTE networks. The SIM card is exclusively compatible with unlocked devices that support 3G/4G/5G technology and are compatible with the contracted carrier's network.

ACTIVATION ¥5,500

A. ◼︎ SMS message reception is unlimited and free. Sending SMS messages costs ¥20 per message within Japan and ¥150 for international messages. To avoid additional costs, we recommend using apps like WhatsApp, Telegram, Messenger, Skype, etc.

B. ▲ PLAN FOR MAKING AND RECEIVING UNLIMITED CALLS: The plan includes unlimited free calls to mobile or landline numbers for all carriers within Japan. However, calls to paid numbers, such as 104/050/0570, among others, will incur charges.

C. ◆ PLAN FOR RECEIVING CALLS AND RECEIVING SMS ONLY: This SIM card allows only the reception of calls and SMS messages. It does not allow making direct calls between numbers or sending SMS. For message or voice communication, please use apps like WhatsApp, Telegram, Messenger, Skype, etc.

D. The additional fee (paid SMS/calls, etc.) will be charged later, within 30 to 90 days, and billed separately from the monthly subscription. It will be available for payment at KONBINI/credit card based on the selected plan.

4. PAYMENT METHODS AND DATES

KONBINI

Your credit card payment will be processed between the 1st and the 10th of the current month.

Your KONBINI payment must be made between the 2nd and the 10th of the current month.

For KONBINI payments, you must provide us with a valid email address. Every month, you will receive a new code via email.

Provide your billing information during the service process.

Payments at convenience stores:

Family Mart, Lawson, and Mini Stop

A. If payment is not made within the deadline, your contract will not be renewed, and it will be canceled at the end of the month. The current month's fee will still be charged, and additional fees and penalties will be applied if applicable.

B. If negotiated for payment after the due date, there will be a fee of ¥1,500. And, if the service is interrupted, reactivation may take up to 72 business hours.

C. If you wish to change the payment method from KONBINI to CREDIT CARD or vice versa, please contact our customer service at least 30 days before the payment due date.

D. BILLING FEE: I am aware that currently this payment fee [konbini/credit card] of ¥330 is being covered by NewSky but may be added to the invoice at any time without prior notice.

E. PAYMENT TERMS CLAUSE
Initial Payment: To subscribe to the voice chip service, the customer must pay the first month’s fee in advance, as well as the chip acquisition fee of ¥2,200. These amounts are paid upfront to activate the service.

Monthly Fees: After the initial payment, subsequent monthly fees must be paid during the current month to renew for the following month. PREPAID.

Chip Return and Penalty: The customer is responsible for returning the chip at the end of the contract or in the event of service cancellation by the 5th of the following month. If the chip is not returned within the specified period, an additional fee of ¥2,200 will be charged as a penalty for non-return or loss of the chip.

5. IMPORTANT INFORMATION
A. Number portability to another carrier is not allowed; once acquired, the number is exclusive to this service.
B. The service is compatible with the use of applications, however, it will not allow age verification in apps like LINE or similar. Additionally, this service does not include voicemail functionality.

6. PLAN CHANGE
A. Changing the plan is not possible.

7. CANCELLATION

A. To cancel the service, the account holder must contact NewSky no later than the 10th of the current month to request the cancellation.

B. Failure to pay the bill by the 10th will result in automatic cancellation of the service, which may lead to the imposition of fines and additional fees, if applicable. The customer must settle any outstanding amounts with NewSky within the specified time frame for regularization.

C. If the cancellation is within or after the deadline, the SIM card must be returned to NewSky. See the details of your contract on your invoice.

In the event of contract cancellation, the service cannot be reactivated, and the associated phone number will be permanently lost, with no possibility of recovery.

D. In case of a fine, it will be charged via KONBINI or credit card. For billing via KONBINI or credit card, once the charge is issued, if a new charge is necessary or the payment date needs to be changed, a ¥1,000 fee will be added to the fine amount. Resending an invoice may incur a ¥1,000 charge.

E. If the monthly fee is not paid by the 10th of the payment month, and there is no interest or communication with NewSky, the fines related to the clauses not fulfilled by the customer will be imposed and collected by our legal representative, the Libra Legal Office law firm and/or Trade's Creditor Protection Co.ltd., who will be responsible for the case from that point forward, and depending on the case, a lawsuit will be filed in the Tokyo District Court. Documents and general information will be used for legal resolution, and in addition, your name may be registered in the CREDIT PROTECTION SERVICE in Japan and abroad. Any legal issues will be resolved in the Tokyo District Court.

Important: The initial fee paid at the time of chip pickup or receipt includes the first monthly fee, but it is not counted toward the minimum required periods.

For example:
For the SoftBank chip: the initial fee (which includes 1 monthly fee) + 3 additional monthly fees (totaling 4) must be paid.


For the AU chip:
Before 6 monthly payments: initial fee + 6 additional monthly fees (totaling 7).
After 6 monthly payments: initial fee + between 7 and 12 additional monthly fees, depending on the plan.

9.CONTRACT, DATA TRAFFIC & SUSPENSION RIGHTS
A. We inform you that starting in January 2016, Japanese laws regarding data traffic control have become stricter. New rules from carriers or the government may be implemented without prior notice. Restrictions on data traffic volume may be applied.
B. We provide adequate data capacity for general use, but from a fair use and network quality maintenance perspective, usage restrictions may be applied to users who engage in high volumes of communication, large file downloads, very long videos, etc. In such cases, measures may be taken, such as interrupting communication or drastically reducing communication speed.
C. Customers who consume large amounts of data need to be cautious. *No refunds or exchanges, etc., will be issued in case suspension measures or speed restrictions are applied by the carrier or the government. NewSky is not responsible for signal failures in certain areas.
D. The service is intended for general use, with the exception of torrents, P2P, or similar activities. For further details, visit: bit.ly/ns_pirataria
E. In case of delay or abandonment of a service contract, if the customer has another active service, NewSky reserves the right to suspend the other service without prior notice.
F. NewSky reserves the right to unilaterally suspend or cancel the customer's contract if it causes damage to the company or in cases where the company deems there is misuse or misconduct, such as excessive or consecutive long calls by the customer. Suspension may occur without prior notice and without compensation.
G. In the event of service suspension due to accidents, unscheduled system maintenance, or data network fluctuations, there will be no compensation for the downtime.
H. NewSky reserves the right to pass on any changes made to the service by the carrier to the customer without prior notice, in compliance with the required regulations, including price adjustments.
I. The service with an economical data package uses the SoftBank network. Internet speed may vary during use due to the user's environment (such as terminal device specifications) and network congestion.
J. Billing for pending payments or debts may also be carried out abroad. The customer's name may be included in the credit protection services (SPC).
K. A 14.5% annual interest rate will be charged on unpaid amounts and outstanding debts with NewSky, including overdue monthly fees, cancellation penalties, or any other pending obligations with NewSky.
L. The SIM card must be returned at the end of the contract.

10. DOCUMENTS
A. It is the customer's responsibility to keep documents and registration data updated with NewSky. Communication from NewSky to customers is made via SMS, Facebook, WhatsApp, email, phone, or letter.

11. LOSS OR THEFT
A. In case of loss or theft, the customer must immediately file a police report at the nearest police station or KOBAN. *This process is mandatory in the case of loss or theft of a mobile phone with a SIM card.

12. SUPPORT
A. NewSky does not offer support or take responsibility for software and applications used by the customer.
B. MÔNICA MOBILE uses the SoftBank or Au network, but all support is exclusively provided by NewSky, and SoftBank or Au has no responsibility.
C. Technical support or payment-related issues will only be resolved within the operating hours of the responsible department: Monday to Friday, from 10:00 AM to 5:00 PM (closed on weekends and national holidays).
