CONTRACT AND TERMS OF USE FOR MÔNICA PREPAID WIFI

VERSION 20 – ENGLISH

THIS AGREEMENT AIMS TO REGULATE THE TERMS APPLICABLE TO THE CONTRACTING, USE, AND CANCELLATION OF SERVICES AND BENEFITS OFFERED BY NEWSKY, SPECIFIC (“SERVICES”) THROUGH A MONTHLY SUBSCRIPTION. PLEASE READ THIS AGREEMENT AND ALL THE CONDITIONS BELOW CAREFULLY. IF YOU DO NOT AGREE, IN WHOLE OR IN PART, WITH THIS AGREEMENT OR ANY SUPPLEMENTS, CHANGES, OR UPDATES, YOU WILL NOT BE ABLE TO ACCESS THE SERVICES.

Entered into by and between, on one side, 有限会社メガシステム Yugengaisha MegaSystem Co., Ltd., a company headquartered in Tokyo - Head Office: 〒163-1030 Tokyo-to Shinjuku-ku Nishi-Shinjuku 3-7-1 Shinjuku Park Tower N30F, herein represented under its trade name “NewSky”; and, on the other side, the Customer, already identified in the Registration Form ("Customer", when referred to together with NewSky, the “Parties”, and individually, each a “Party”). CONSIDERING THAT NewSky offers the Customer the possibility of contracting services and benefits through a monthly subscription; the Parties hereby resolve to execute this SPECIFIC SERVICE OR BENEFIT CONTRACT AGREEMENT (“Agreement”), which shall be governed by the following terms and conditions:

NO DAILY LIMIT: For data-capped plans, after using your full data allowance, speed will be reduced temporarily and service will be interrupted, resuming to normal the following month.

◎UNLIMITED LITE (individual use on 1 or 2 devices) and ◎UNLIMITED PLUS (recommended for up to two people on 2 or 3 devices) are for fair use; speeds up to 4 Mbps are suitable for streaming videos up to 720p; frequent downloads are not recommended. The Unlimited LITE and PLUS plans are designed as more economical options for moderate use.

Please note that continuous usage exceeding 5GB daily on monthly data-capped plans, 5GB daily on the UNLIMITED LITE plan, and 8GB daily on the UNLIMITED PLUS plan may lead to speed reduction, signal disconnection without prior notice, or even contract termination, as requested by the Japanese operator or government.

4. MÔNICA WIFI ROUTER DEVICE

A. The Mônica Wifi Router is available at a limited-time promotional price, originally ¥12,800, now offered for free during the promotion at ¥0. In case of loss, you may purchase a new one or choose to rent a replacement at the current rates. Contact us for more details!

B. The MÔNICA WIFI ROUTER is yours. The device is pre-configured and ready to use. We recommend not making any changes or adjustments to the device settings.

C. Refurbished Model: The model offered in this contract is RF and may have signs of wear.

D. Includes a PREMIUM KIT with a power adapter, USB cable, and an EXCLUSIVE NewSky BAG. Refer to your receipt for information about the router. Please do not use the Mônica Wifi internet in any month for which you have not renewed payment. If you do, the full monthly fee will be charged.

5. PREPAID SERVICE, PAYMENTS, DATES, METHODS, AND DEADLINES

CREDIT CARD

KONBINI

Your credit card payment will be processed between the 1st and the 9th of the month.

Your KONBINI payment must be made between the 1st and the 15th of the month.

We recommend having at least ¥2,000 extra or a sufficient balance in your account during this period.

For KONBINI payment, you must provide us with a valid email. Each month, you will receive a new payment code via email.

Please provide your billing information during service assistance.

Convenience store payment options: Family Mart, Lawson, and Mini Stop

A. If payment is not made within the deadline, your contract will not be renewed and will be canceled. Fees and penalties may apply if applicable.

B. For late payments, if arranged by the 25th of the same month, a fee of ¥1,500 will apply. If payment is not made by this date, the service will not be renewed and will be canceled.

C. If you wish to change your payment method from KONBINI to CREDIT CARD or vice versa, please contact our customer service center at least 30 days before the payment date.

D. COLLECTION FEE: ¥330

I understand that currently this payment fee [konbini/credit card] of ¥330 is being covered by NewSky but may be added to the bill at any time without prior notice.

6. PLAN CHANGE

A. To request a plan change, contact our support center by the 5th to apply the change for the next month. The plan change fee is ¥2,200. You may select from the available plans. After payment, the change will take effect on the first day of the following month if the monthly fee is paid.

7. CANCELLATION AND CONTRACT ABANDONMENT

A. MONTHLY CONTRACT - NO CANCELLATION FEE

B. To cancel the service, the account holder must contact NewSky to inform them of the service cancellation. The customer must settle any outstanding payments with NewSky within the stipulated deadline, with a maximum limit of 25 days after the due date if applicable. CONTRACT ABANDONMENT DATE: DAY 25

C. Outstanding amounts must be paid through KONBINI or credit card according to the contracted plan. For KONBINI or credit card billing, if an additional charge or a change in the payment date is needed, a fee of ¥1,500 will be added to the amount due.

8. CONTRACT, DATA TRAFFIC & SUSPENSION RIGHTS

A. Since January 2016, Japanese data traffic control laws have become stricter. New regulations from carriers or the government may apply without notice, including restrictions on data volume.

B. We provide sufficient data capacity for general use. However, to ensure network quality and fair usage, restrictions may apply to users engaging in heavy activities, such as large volumes of communication, file downloads, or extended videos. Actions like connection interruptions or significant speed reductions may be implemented in such cases. This service is recommended for general use and not for torrenting, P2P, or similar activities. C. Customers consuming large amounts of data should be aware of possible restrictions. In cases where the carrier or government imposes suspensions or speed limits, there will be no refunds, exchanges, or compensation. NewSky is not liable for signal issues in certain areas.

D. In cases of delay or contract abandonment for one service, NewSky reserves the right to suspend any other active services of the customer without prior notice.

E. NewSky reserves the right to unilaterally suspend or cancel the customer’s contract if misuse, misconduct, or harm to the company is observed. This may occur without prior notice, refunds, and may include applicable fees and penalties.

F. Customers are advised not to alter the router settings, as the device is already configured and ready for use.

G. In case of service interruption due to accidents or unscheduled maintenance, there will be no financial compensation for the downtime.

H. NewSky reserves the right to pass on any service changes made by the carrier, including price adjustments, as per current regulations without prior notice.

I. The service is prepaid and automatically renewed. Once payment is made, the service is renewed automatically, and no refunds are available.

J. The advertised maximum communication speed for the device and service is based on theoretical values and may not reflect the actual speed. Connection speed may vary due to the user’s environment (e.g., device specifications) and network congestion.

K. Outstanding debts may be collected abroad, and the customer’s name may be added to the Credit Protection Service (SPC) in case of default.

L. An annual interest rate of 14.5% will be applied to outstanding amounts, including overdue monthly fees, cancellation fees, or other debts with NewSky.

M. In cases of default with NewSky, along with non-payment and lack of communication or interest in resolving the debt, stipulated penalties for the breached clauses or agreements will be applied. Collection will be handled by our legal representative, Libra Legal Office and/or Trade's Creditor Protection Co., Ltd., which will assume responsibility for the case. Depending on the situation, legal action may be initiated. The customer's registration information may be used for legal resolution, and their name may be recorded with the Credit Protection Service (SPC) in Japan and international institutions. All legal disputes will be resolved in the Tokyo District Court.

10. DOCUMENTS

A. During this campaign, NewSky may request customer documents. The customer is responsible for keeping their registration information updated with NewSky. For updates or other communications, please contact NewSky via SMS, Facebook, WhatsApp, email, or phone.

11. SUPPORT & CONTACT

A. NewSky does not offer support or assume responsibility for software and applications used by the customer.

B. Technical support or payment issues will only be resolved during business hours from Monday to Friday, 10:00 AM to 5:00 PM. Closed on national holidays and weekends.
